Article 1 – Identité du vendeur

Les présentes Conditions Générales de Vente sont conclues entre :

KioStore

Ci-après dénommée « KioStore »

Et

Toute personne physique ou morale souscrivant à un abonnement via la plateforme, ci-après dénommée « le Marchand ».

 

Article 2 – Objet

Les présentes CGV ont pour objet de définir :

2.1. Les conditions d’abonnement à la plateforme KioStore
2.2. Les modalités de facturation
2.3. Les commissions prélevées sur les ventes
2.4. Les conditions de paiement
2.5. Les conditions de suspension et résiliation

 

Article 3 – Accès à la plateforme KioStore

3.1. L’abonnement donne au Marchand un droit d’accès non exclusif, non transférable et limité dans le temps à la plateforme KioStore, accessible via Internet.

3.2. Cet accès peut inclure notamment :

  • La création et l’administration d’une ou plusieurs boutiques en ligne

  • L’accès à un tableau de bord marchand

  • La gestion du catalogue produits

  • La gestion des prix, promotions et variantes

  • La configuration des paramètres généraux de la boutique

  • L’accès aux outils marketing intégrés

  • La gestion des utilisateurs secondaires

  • L’intégration de canaux de vente et plugin

3.3. Les fonctionnalités disponibles varient selon le pack choisi.

3.4. L’accès à la plateforme est conditionné au respect des présentes CGV et au paiement effectif des frais d’abonnement.

 

Article 4 – Abonnements

4.1 Formules

KioStore propose :

  • Un abonnement mensuel

  • Un abonnement annuel

  • Un pack gratuit 

Les tarifs applicables sont ceux affichés sur la page officielle des prix au moment de la souscription.

 

4.2 Activation

L’abonnement est activé après :

  • La validation du paiement 

 

Article 5 – Commission sur les ventes

5.1 Principe

En complément de l’abonnement, KioStore prélève une commission sur les ventes réalisées via la plateforme.

5.2 Taux de commission

Le taux applicable est celui indiqué dans l’espace marchand ou dans la grille tarifaire officielle.

 

5.3 Base de calcul

La commission est calculée sur le prix de vente des produits correspondant à toute commande enregistrée dans le tableau de bord marchand via la plateforme KioStore.

Est considérée comme “commande enregistrée” toute commande :

  • Créée via la boutique du Marchand

  • Transmise au système KioStore

  • Visible dans le tableau de bord marchand

La commission est due indépendamment :

  • De l’expédition

  • De la livraison effective

  • Du refus du client à la réception

  • De l’annulation ultérieure par le client

La commission est exigible dès l’enregistrement de la commande dans le système.

 

5.4 Modalités de prélèvement

La commission est :

  • Débitée automatiquement du portefeuille marchand

Le Marchand accepte expressément ce mécanisme de prélèvement automatique.



Article 6 – Système de Portefeuille / Recharge

6.1. Le Marchand peut être amené à recharger son compte KioStore via les moyens de paiement disponibles.

6.2. Les commissions sont automatiquement déduites du solde disponible.

6.3. En cas de solde insuffisant :

  • Certaines fonctionnalités peuvent être suspendues

  • La réception de nouvelles commandes peut être bloquée

6.4. KioStore ne pourra être tenue responsable d’une perte de ventes liée à un solde insuffisant.

 

Article 7 – Paiement

7.1 Moyens de paiement acceptés

Les paiements peuvent être effectués via :

  • Carte CIB

  • Carte Edahabia

  • Virement CCP

  • Virement bancaire

D’autres moyens de paiement pourront être proposés ultérieurement.

 

Article 8 – Obligations du Marchand

Le Marchand s’engage à :

8.1. Fournir des informations exactes et à jour
8.2. Respecter la législation algérienne en vigueur
8.3. Respecter les droits des consommateurs
8.4. Ne pas utiliser la plateforme à des fins illégales

KioStore n’est pas responsable des obligations fiscales, sociales ou légales du Marchand.



Article 9 – Suspension et Résiliation

KioStore peut suspendre ou résilier un compte en cas de :

9.1. Fraude ou tentative de fraude
9.2. Activité illégale
9.3. Violation des présentes CGV ou des CGU

La suspension peut intervenir sans préavis en cas de faute grave.

 

Article 10 – Responsabilité

10.1. KioStore est responsable uniquement de la fourniture du logiciel SaaS.

10.2. KioStore n’est pas responsable :

  • Des produits vendus par le Marchand

  • Des litiges entre le Marchand et ses clients

  • Des pertes financières indirectes

  • Des interruptions indépendantes de sa volonté

 

Article 11 – Modification des tarifs

KioStore peut modifier :

  • Les prix des abonnements

  • Les taux de commission

Les modifications s’appliquent au renouvellement suivant.

المادة 1 – هوية البائع

تم إبرام هذه الشروط العامة للبيع بين:

KioStore
الشركة: SARL NeoFintech
البريد الإلكتروني: [email protected]
الموقع الإلكتروني: https://kio.dz

ويشار إليها فيما بعد بـ “KioStore”

و

كل شخص طبيعي أو معنوي يقوم بالاشتراك عبر المنصة، ويشار إليه فيما بعد بـ “التاجر”.

المادة 2 – موضوع العقد

تهدف هذه الشروط العامة للبيع إلى تحديد:

2.1 شروط الاشتراك في منصة KioStore
2.2 آليات الفوترة
2.3 العمولات المقتطعة من المبيعات
2.4 شروط الدفع
2.5 شروط التعليق وإنهاء الاشتراك

المادة 3 – الوصول إلى منصة KioStore

3.1 يمنح الاشتراك للتاجر حق وصول غير حصري وغير قابل للتحويل ومحدد المدة إلى منصة KioStore المتاحة عبر الإنترنت.

3.2 قد يشمل هذا الوصول على وجه الخصوص:

  • إنشاء وإدارة متجر أو عدة متاجر إلكترونية
  • الوصول إلى لوحة تحكم التاجر
  • إدارة كتالوج المنتجات
  • إدارة الأسعار والعروض الترويجية والخيارات المختلفة للمنتجات
  • إعداد الإعدادات العامة للمتجر
  • الوصول إلى أدوات التسويق المدمجة
  • إدارة المستخدمين الثانويين
  • دمج قنوات البيع والإضافات (Plugins)

3.3 تختلف الميزات المتاحة حسب الباقة المختارة.

3.4 يخضع الوصول إلى المنصة للالتزام بهذه الشروط العامة للبيع والدفع الفعلي لرسوم الاشتراك.

المادة 4 – الاشتراكات

4.1 أنواع الاشتراك

توفر KioStore:

  • اشتراكًا شهريًا
  • اشتراكًا سنويًا
  • باقة مجانية

الأسعار المطبقة هي الأسعار المعروضة في صفحة التسعير الرسمية وقت الاشتراك.

4.2 التفعيل

يتم تفعيل الاشتراك بعد:

  • تأكيد عملية الدفع

المادة 5 – العمولة على المبيعات

5.1 المبدأ

بالإضافة إلى الاشتراك، تقوم KioStore باقتطاع عمولة على المبيعات المنجزة عبر المنصة.

5.2 نسبة العمولة

النسبة المعتمدة هي النسبة الموضحة في مساحة التاجر أو في جدول الأسعار الرسمي.

5.3 أساس احتساب العمولة

يتم احتساب العمولة على سعر بيع المنتجات المتعلقة بكل طلب يتم تسجيله في لوحة تحكم التاجر عبر منصة KioStore.

يُعتبر “طلبًا مسجلًا” كل طلب:

  • تم إنشاؤه عبر متجر التاجر
  • تم إرساله إلى نظام KioStore
  • ظاهرًا في لوحة تحكم التاجر

وتكون العمولة مستحقة بغض النظر عن:

  • عملية الشحن
  • التسليم الفعلي
  • رفض العميل عند الاستلام
  • إلغاء الطلب لاحقًا من قبل العميل

وتصبح العمولة واجبة الدفع بمجرد تسجيل الطلب في النظام.

5.4 آلية الاقتطاع

يتم اقتطاع العمولة:

  • تلقائيًا من محفظة التاجر

ويوافق التاجر صراحةً على آلية الاقتطاع التلقائي هذه.

المادة 6 – نظام المحفظة / إعادة الشحن

6.1 قد يُطلب من التاجر إعادة شحن حسابه على KioStore باستخدام وسائل الدفع المتاحة.

6.2 يتم خصم العمولات تلقائيًا من الرصيد المتوفر.

6.3 في حالة عدم كفاية الرصيد:

  • قد يتم تعليق بعض الميزات
  • قد يتم حظر استقبال طلبات جديدة

6.4 لا تتحمل KioStore أي مسؤولية عن خسائر المبيعات الناتجة عن عدم كفاية الرصيد.

المادة 7 – الدفع

7.1 وسائل الدفع المقبولة

يمكن إجراء عمليات الدفع عبر:

  • بطاقة CIB
  • بطاقة الذهبية (Edahabia)
  • تحويل CCP
  • تحويل بنكي

وقد تتم إضافة وسائل دفع أخرى مستقبلاً.

المادة 8 – التزامات التاجر

يلتزم التاجر بما يلي:

8.1 تقديم معلومات صحيحة ومحدثة
8.2 احترام التشريعات الجزائرية السارية
8.3 احترام حقوق المستهلك
8.4 عدم استخدام المنصة لأغراض غير قانونية

ولا تتحمل KioStore مسؤولية الالتزامات الضريبية أو الاجتماعية أو القانونية الخاصة بالتاجر.

المادة 9 – التعليق وإنهاء الحساب

يمكن لـ KioStore تعليق أو إنهاء حساب في الحالات التالية:

9.1 الاحتيال أو محاولة الاحتيال
9.2 نشاط غير قانوني
9.3 مخالفة هذه الشروط العامة للبيع أو شروط الاستخدام

يمكن تنفيذ التعليق دون إشعار مسبق في حالة الخطأ الجسيم.

المادة 10 – المسؤولية

10.1 تتحمل KioStore المسؤولية فقط فيما يتعلق بتوفير برنامج SaaS.

10.2 لا تتحمل KioStore مسؤولية:

  • المنتجات التي يبيعها التاجر
  • النزاعات بين التاجر وعملائه
  • الخسائر المالية غير المباشرة
  • الانقطاعات الخارجة عن إرادتها

المادة 11 – تعديل الأسعار

يمكن لـ KioStore تعديل:

  • أسعار الاشتراكات
  • نسب العمولات

وتُطبق هذه التعديلات عند التجديد التالي للاشتراك.

Article 1 – Seller Identification

These General Terms and Conditions of Sale are entered into between:

Hereinafter referred to as “KioStore”

And

Any natural or legal person subscribing to a plan through the platform, hereinafter referred to as “the Merchant”.

Article 2 – Purpose

The purpose of these General Terms and Conditions of Sale is to define:

2.1 Subscription conditions for the KioStore platform
2.2 Billing procedures
2.3 Sales commissions charged
2.4 Payment terms
2.5 Suspension and termination conditions

Article 3 – Access to the KioStore Platform

3.1 The subscription grants the Merchant a non-exclusive, non-transferable, and time-limited right to access the KioStore platform via the Internet.

3.2 This access may include, in particular:

  • Creation and management of one or more online stores
  • Access to a merchant dashboard
  • Product catalog management
  • Price, promotion, and product variant management
  • Configuration of general store settings
  • Access to integrated marketing tools
  • Secondary user management
  • Integration of sales channels and plugins

3.3 Available features vary depending on the selected package.

3.4 Access to the platform is subject to compliance with these Terms and Conditions and effective payment of subscription fees.

Article 4 – Subscriptions

4.1 Subscription Plans

KioStore offers:

  • A monthly subscription
  • An annual subscription
  • A free plan

Applicable prices are those displayed on the official pricing page at the time of subscription.

4.2 Activation

The subscription is activated after:

  • Payment confirmation

Article 5 – Sales Commission

5.1 Principle

In addition to the subscription fee, KioStore charges a commission on sales made through the platform.

5.2 Commission Rate

The applicable rate is the one indicated in the merchant area or in the official pricing schedule.

5.3 Calculation Basis

The commission is calculated based on the selling price of products related to any order recorded in the Merchant dashboard through the KioStore platform.

A “recorded order” refers to any order that:

  • Is created through the Merchant’s store
  • Is transmitted to the KioStore system
  • Appears in the Merchant dashboard

The commission remains payable regardless of:

  • Shipment status
  • Actual delivery
  • Customer refusal upon delivery
  • Subsequent cancellation by the customer

The commission becomes due as soon as the order is recorded in the system.

5.4 Deduction Method

The commission is:

  • Automatically deducted from the Merchant’s wallet

The Merchant expressly accepts this automatic deduction mechanism.

Article 6 – Wallet / Top-Up System

6.1 The Merchant may be required to top up their KioStore account through the available payment methods.

6.2 Commissions are automatically deducted from the available balance.

6.3 In the event of insufficient balance:

  • Certain features may be suspended
  • Receipt of new orders may be blocked

6.4 KioStore shall not be held liable for any loss of sales resulting from insufficient balance.

Article 7 – Payment

7.1 Accepted Payment Methods

Payments may be made via:

  • CIB Card
  • Edahabia Card
  • CCP Transfer
  • Bank Transfer

Additional payment methods may be introduced in the future.

Article 8 – Merchant Obligations

The Merchant agrees to:

8.1 Provide accurate and up-to-date information
8.2 Comply with applicable Algerian laws and regulations
8.3 Respect consumer rights
8.4 Not use the platform for unlawful purposes

KioStore is not responsible for the Merchant’s tax, social, or legal obligations.

Article 9 – Suspension and Termination

KioStore may suspend or terminate an account in the event of:

9.1 Fraud or attempted fraud
9.2 Illegal activity
9.3 Violation of these GTC or Terms of Use

Suspension may occur without prior notice in cases of serious misconduct.

Article 10 – Liability

10.1 KioStore is responsible only for providing the SaaS software service.

10.2 KioStore shall not be responsible for:

  • Products sold by the Merchant
  • Disputes between the Merchant and their customers
  • Indirect financial losses
  • Interruptions beyond its control

Article 11 – Pricing Changes

KioStore may modify:

  • Subscription prices
  • Commission rates

Such modifications will apply upon the next subscription renewal.
